When a Scandinavian subsidiary in Spain has to enter a contract, it is necessary to be aware that there are generally high requirements for formalities in Spain. For example, a private loan agreement is not valid with the Spanish tax authorities unless the contract is at least stamped by a public authority.
If you want to avoid unnecessary discussion and burden of proof in relation to, for example, signatures and date, a contract should be drawn up and signed in front of a Spanish notary.
If one is aware in advance that a possible dispute will involve the Spanish courts either for the settlement of the dispute or for enforcement, this should be taken into account already at the conclusion of the contract.
